  • How Business Filings can Avoid State Rejections

    Approval of all business filings is ultimately subject to the discretion of the State Examiner. To minimize the risk of rejection we recommend you check your submission for the following:

    1.) Check the availability of your entity's name at http://kepler.sos.ca.gov/.

    2.) Make sure you're using the most current version of the State's forms (available at the SOS website). As of 1/1/2014 they've updated a number of forms. Documents on an old form will be rejected.

    3.) Include valid street and mailing addresses. The street address may not be a P.O. box.

    4.) Sign the document and print your name/title legibly. The Secretary of State will no longer approve documents signed with an electronic signature or signature stamp. Photocopies and scans of featuring a wet signature are still acceptable.

    We always do what we can to avoid rejections but we cannot guarantee a filing's approval. However, by following the guidelines above and providing clear and accurate information, you can greatly reduce the chances of State rejection.

  • Changes to SOS Name Availability Procedures

    The Secretary of State's Name Availability Department has altered a number of their regulations. LLC's may no longer obtain name reservations over the phone--the reservation requests must now be submitted by mail. As a result SOS Filings Inc. is no longer offering independent Name Reservation Requests for LLC filings. However, we still offer verified name availability checks for LLCs via our phone account with the Secretary of State. To avoid ambiguity, the SOS will now declare a potential name as either Available or Unavailable.
    The Name Availability process for corporations remains unchanged.
    Where applicable, SOS Filings continues to offer Name Availability services for LLCs, Corporations and Non-profits. However, reservations we obtain are listed under our name and will not be released to other individuals or entities-- in order for the reservation to be valid SOS Filings Inc. must be the one to submit formation documents to the Secretary of State.
