Approval of all business filings is ultimately subject to the discretion of the State Examiner. To minimize the risk of rejection we recommend you check your submission for the following:
1.) Check the availability of your entity's name at http://kepler.sos.ca.gov/.
2.) Make sure you're using the most current version of the State's forms (available at the SOS website). As of 1/1/2014 they've updated a number of forms. Documents on an old form will be rejected.
3.) Include valid street and mailing addresses. The street address may not be a P.O. box.
4.) Sign the document and print your name/title legibly. The Secretary of State will no longer approve documents signed with an electronic signature or signature stamp. Photocopies and scans of featuring a wet signature are still acceptable.
We always do what we can to avoid rejections but we cannot guarantee a filing's approval. However, by following the guidelines above and providing clear and accurate information, you can greatly reduce the chances of State rejection.
If you've submitted documents yourself or used a service company only to have the paperwork come back rejected, SOS Filings Inc. can help! Documents submitted to our staff before noon receive a document overview at no additional charge.
If rejection has made your filing time critical, we can also upgrade filings that were previously submitted to the State's expedited processing.
